Terms of Service

This document governs the terms and conditions under which Juan Manuel (hereafter referred to as "the Service Provider") provides Content Creation Services (hereafter referred to as "the Services") to its clients (hereafter referred to as "the Client").

 

Definitions

"Services" refers to the Content Creation Services provided by Juan Manuel, including but not limited to Photography and Videography.
"Client" refers to the person or entity that has engaged the Service Provider to provide the Services.
"Deliverables" refers to the final products produced by the Service Provider, including but not limited to photographs, videos, and any other related materials.
Service Description The Service Provider agrees to provide the Client with high-quality Content Creation Services in accordance with the Client's specific requirements and specifications. The Services will be provided in a timely and professional manner.

 

Engagement of Services

The engagement of the Services shall be deemed to have taken place when the Client confirms their agreement to these Terms of Service and the Service Provider's quotation.

 

Client Requirements

The Client shall provide the Service Provider with all necessary information and materials to enable the Service Provider to perform the Services, including but not limited to access to the location(s) to be photographed or filmed, relevant brand guidelines and any other necessary information or materials.

 

Deliverables

The Deliverables shall be delivered to the Client in the format specified in the quotation or as otherwise agreed between the Client and the Service Provider. The Service Provider shall use reasonable care and skill in delivering the Deliverables.

 

Payment Terms

The Client shall pay the fees for the Services in accordance with the payment terms specified in the quotation. All fees are exclusive of any applicable taxes and the Client shall be responsible for paying any such taxes.

 

Intellectual Property Rights

All Intellectual Property Rights in the Deliverables shall belong to the Service Provider or its licensors and the Client shall have a non-exclusive, non-transferable license to use the Deliverables for the purposes specified in the quotation.

 

Warranty The Service

Provider warrants that it has the necessary skills, experience, and resources to perform the Services and that the Deliverables shall be of a quality that is fit for their intended purpose.

 

Liability The Service

Provider shall not be liable to the Client for any indirect, incidental, or consequential damages, loss of profits, or any other damages or losses arising out of or in connection with the Services or the Deliverables.

 

Termination

Either party may terminate this agreement at any time by giving written notice to the other party. Upon termination, the Client shall pay the Service Provider any fees that are due and the Service Provider shall return any materials belonging to the Client.

 

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Mexico and any disputes arising out of or in connection with these Terms of Service shall be subject to the jurisdiction of the Mexican courts.

 

Entire Agreement

These Terms of Service, together with the Service Provider's quotation, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings between the parties.
